Terms of Service

Last updated: October 25, 2026  •  White Crow

Agreement to Terms

These Terms of Service ("Terms") are a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and White Crow ("Company", "we", "us", or "our"), concerning your access to and use of this website, along with any related landing page, form, webinar, live training, strategy call, consultation, client portal, reporting dashboard, or marketing engagement that links to or connects with it (collectively, the "Site" and "Services").

White Crow is a digital marketing agency based in the State of FL, United States.

By accessing the Site or using our Services, you confirm that you have read, understood, and agreed to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Site and must discontinue use immediately.

If you become a client, the work we do for you will also be governed by a separate written proposal, service agreement, or statement of work (a "Service Agreement"). If a Service Agreement conflicts with these Terms, the Service Agreement controls for the services it covers.

Supplemental terms, conditions, or documents posted on the Site from time to time are expressly incorporated here by reference. We reserve the right, at our sole discretion, to change or modify these Terms at any time and for any reason. We will notify you of changes by updating the "Last updated" date, and you waive any right to receive specific notice of each change. Your continued use of the Site after revised Terms are posted means you accept those changes.

The information provided on the Site is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would violate law or regulation. Anyone who chooses to access the Site from another location does so on their own initiative and is solely responsible for compliance with local laws.

The Site is not built to comply with industry-specific regulations such as the Health Insurance Portability and Accountability Act (HIPAA) or the Gramm-Leach-Bliley Act (GLBA). Do not submit protected health information or regulated financial information through the Site or our forms.

The Site and Services are intended for users who are at least 18 years old. Persons under 18 are not permitted to register for or use the Services.

What We Do and What We Do Not Do

White Crow provides digital marketing services and marketing education, including search strategy, local and Google Maps SEO, AI search optimization, content and editorial, website design and development, conversion rate optimization, analytics and call tracking, reputation management, and free or paid trainings and webinars about these topics.

We are a marketing agency. We are not a law firm, accounting firm, tax advisor, or financial advisor. Nothing we provide is legal, tax, accounting, or financial advice.

You alone own and control your business and are solely responsible for it, including the accuracy of your business information and all claims made in your marketing. If you are an attorney or another licensed professional, you are responsible for making sure all marketing, website content, reviews, and advertising comply with the rules of your state bar or licensing board. We will make changes you request for compliance reasons, but final approval of what is published about your business is yours.

We do not create fake reviews, offer incentives for positive reviews, or use practices that violate Google's or any other platform's policies, and we may decline any request that would.

Results Disclaimer

We do not guarantee rankings, map pack placement, AI search citations, traffic, calls, leads, clients, revenue, or business results of any kind.

Search engines, map platforms, and AI tools such as Google, ChatGPT, and Gemini are operated by third parties that change how they rank and recommend businesses at any time and without notice. No agency controls those systems, and anyone who promises a guaranteed ranking should be treated with caution.

Any statement about rankings, share of local voice, clicks, calls, leads, timelines, or business outcomes on the Site, in our advertising, in a webinar, on a call, or in a proposal is an illustration of what some clients have achieved, not a promise or projection of what you will achieve. Case studies, ranking grids, and testimonials reflect the experience of specific clients under specific conditions and are not typical results.

Your results depend on factors we do not control, including your market, competition, location, reviews, website, budget, how quickly you respond to leads, the quality of your services, and changes to search engines and AI platforms.

By using our Services, you acknowledge that marketing is an investment with no guaranteed return and that you are not relying on any results representation in deciding to work with us.

Fees, Payment, and Billing

Our webinars and trainings advertised as free do not require payment. Fees for marketing services, including monthly retainers, project fees, and setup fees, are set out in your Service Agreement or on the checkout page at the time of purchase, and those terms govern that purchase.

You agree to provide current, complete, and accurate billing and account information. All payments are in U.S. dollars unless stated otherwise. You are responsible for any applicable taxes. Unless your Service Agreement says otherwise, recurring fees are billed in advance for each billing period, and you authorize us or our payment processor to charge your payment method on that schedule until the engagement ends.

Advertising spend, software subscriptions, and other third-party costs are separate from our fees unless your Service Agreement says they are included.

Payments may be processed by third-party payment processors. Your use of those platforms is subject to their own terms and privacy policies, and we are not responsible for their acts, omissions, outages, fees, or data practices. We may pause work on any account that is past due.

Refunds and Cancellation

Fees for work already performed and for billing periods already started are non-refundable.

Marketing services involve time, research, and work that cannot be returned once delivered. Cancellation notice periods and any minimum terms are described in your Service Agreement. Because we make no guarantee of rankings or business results, dissatisfaction with results is not by itself a basis for a refund.

If you believe you were charged in error, charged more than once, or charged for something you did not order, contact us at [email protected] within thirty (30) days of the charge and we will review it in good faith. We may also issue a refund at our sole discretion or where required by applicable law. Any refund we choose to issue in one case does not create an obligation to do so in any other case.

If you are dissatisfied, contact us first. Initiating a chargeback or payment dispute without contacting us may result in immediate suspension of services and account access, and we reserve the right to recover amounts owed, including fees and costs.

Accounts, Access, and Your Platforms

Some Services include access to a client portal, reporting dashboard, CRM, or similar account. Access is granted to you and your authorized team members only. You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us immediately at [email protected] of any unauthorized use.

To deliver the Services, you may give us access to your website, Google Business Profile, analytics, advertising accounts, domain, or other platforms. You authorize us to make changes within those platforms that are reasonably necessary to perform the Services. You remain the owner of those accounts, and you agree to keep at least one administrator login that you control yourself.

We are not responsible for suspensions, verifications, policy actions, or data loss on third-party platforms, including Google Business Profile suspensions, that we did not cause.

Webinars, Trainings, and Strategy Calls

Webinars, live trainings, strategy calls, and consultations are educational in nature. Scheduling, availability, hosts, duration, and format may change.

Guidance given on a call or in a training is general information based on limited information you provide. It is not a professional opinion about your specific legal, tax, or financial circumstances.

Webinars and trainings may be recorded for training, quality, and replay purposes. By attending, you consent to being recorded and to our use of the recording. If you do not want to appear in a recording, keep your camera and microphone off and do not submit questions on camera.

You may not record, republish, resell, or share any training, recording, or materials outside your permitted access, and you may not use them to build or promote a competing service.

Intellectual Property Rights

Unless otherwise indicated, the Site and its content are our proprietary property. All source code, designs, audio, video, text, photographs, graphics, trainings, reports, frameworks, templates, checklists, and recordings (collectively, the "Content"), and all trademarks, service marks, and logos contained in them (the "Marks"), are owned or controlled by us or licensed to us, and are protected by United States and international copyright, trademark, and unfair competition laws.

The Content and Marks are provided "AS IS" for your information and personal use only. Except as expressly provided in these Terms or a Service Agreement, no part of the Site, Content, or Marks may be copied, reproduced, republished, distributed, sold, licensed, or otherwise exploited for any commercial purpose without our express prior written permission.

Ownership of deliverables we create for a client, such as website pages, written content, and graphics, is set out in the Service Agreement. Unless it says otherwise, once all fees for those deliverables are paid in full, you own the final deliverables created specifically for your business, and we keep ownership of our own tools, processes, templates, software, and know-how, which we may continue to use for other clients.

You may apply what you learn from our trainings to your own business. What you may not do is redistribute or repackage our materials themselves.

  1. You have the legal capacity and agree to comply with these Terms;

You represent and warrant that you own or have permission to use all Client Materials, that they are accurate, and that our use of them as you direct will not infringe anyone's rights or violate any law or professional rule.

You grant us a non-exclusive, royalty-free license to use, copy, edit, and publish Client Materials for the purpose of performing the Services. We are not responsible for the accuracy of Client Materials or for claims arising from them.

Testimonials and Case Studies

If you provide a testimonial, review, or feedback about working with us, or if we achieve results for your business, you grant us permission to use it in our marketing, including your name, business name, city, and anonymized or summarized performance data such as rankings, clicks, and calls, unless you tell us in writing not to. You represent that anything you tell us about your experience is true.

We may edit testimonials for length and clarity without changing their substance. We do not pay for testimonials in exchange for a specific positive claim.

Submissions

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information regarding the Site or Services ("Submissions") that you provide to us are non-confidential and become our sole property, except for Client Materials and confidential business information you share with us to perform the Services. We are entitled to the unrestricted use and dissemination of Submissions for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you.

Third-Party Websites, Platforms, and Tools

The Services may rely on or link to third-party websites, platforms, software, and tools, including Google, Google Business Profile, AI tools such as ChatGPT and Gemini, review platforms, directories, payment processors, CRM and call tracking software, hosting providers, and webinar platforms. We do not control and are not responsible for their content, availability, pricing, policies, algorithms, or practices, and a reference is not an endorsement.

Your use of any third-party service is governed by that provider's terms and privacy policy and is at your own risk. You are responsible for your own compliance with the terms of any platform used to market your business.

Site Management

We reserve the right, but not the obligation, to:

  1. Monitor the Site and Services for violations of these Terms;
  2. Take appropriate legal action against anyone who, in our sole discretion, violates the law or these Terms, including reporting such user to law enforcement authorities;
  3. Refuse, restrict access to, limit the availability of, or disable any content you submit or any portion of it;
  4. Remove from the Site or otherwise disable all files and content that are excessive in size or otherwise burdensome to our systems; and
  5. Otherwise manage the Site in a manner designed to protect our rights and property and to facilitate its proper functioning.

Privacy Policy

We care about data privacy and security. Please review our Privacy Policy. By using the Site, you agree to be bound by our Privacy Policy, which is incorporated into these Terms. The Site is hosted in the United States. If you access the Site from a region with laws governing personal data that differ from United States law, your continued use of the Site means you agree to have your data transferred to and processed in the United States.

Term and Termination

These Terms remain in full force and effect while you use the Site or Services. We reserve the right, in our sole discretion and without notice or liability, to deny access to and use of the Site to any person for any reason, including for breach of any representation, warranty, or covenant contained in these Terms or of any applicable law or regulation. Termination of a client engagement is governed by the Service Agreement.

If we terminate or suspend your access for a violation of these Terms, you are not entitled to a refund of amounts already paid. In addition, we reserve the right to take appropriate legal action, including pursuing civil, criminal, and injunctive remedies.

Provisions of these Terms that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution.

Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Site at any time and for any reason at our sole discretion without notice. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Site.

We cannot guarantee the Site or Services will be available at all times. We may experience hardware, software, or other problems, or need to perform maintenance, resulting in interruptions, delays, or errors. You agree that we have no liability for any loss, damage, or inconvenience caused by your inability to access or use the Site during any downtime.

Governing Law

These Terms and your use of the Site and Services are governed by and construed in accordance with the laws of the State of FL, without regard to its conflict of law principles.

Dispute Resolution

Informal Negotiations

To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms (each a "Dispute") brought by either you or us (individually a "Party" and collectively the "Parties"), the Parties agree to first attempt to negotiate any Dispute, except those expressly excluded below, informally for at least thirty (30) days before initiating arbitration. Informal negotiations begin upon written notice from one Party to the other.

Binding Arbitration

If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute, except those expressly excluded below, will be finally and exclusively resolved through binding arbitration. You understand that without this provision, you would have the right to sue in court and have a jury trial.

The arbitration will be conducted under the Commercial Arbitration Rules of the American Arbitration Association ("AAA") and, where appropriate, the AAA's Consumer Arbitration Rules, both available at adr.org. The arbitration may be conducted in person, through the submission of documents, by phone, or online. The arbitrator will issue a decision in writing. Except where otherwise required, the arbitration will take place in Montverde, FL.

If for any reason a Dispute proceeds in court rather than arbitration, it will be brought in the state and federal courts located in or nearest to Montverde, FL, and the Parties consent to venue and jurisdiction in those courts.

In no event will any Dispute brought by either Party related in any way to the Site or Services be commenced more than one (1) year after the cause of action arose.

Restrictions

The Parties agree that any arbitration will be limited to the Dispute between the Parties individually. To the full extent permitted by law, no arbitration will be joined with any other proceeding, and there is no right or authority for any Dispute to be arbitrated on a class-action basis or brought in a representative capacity.

Exceptions to Informal Negotiations and Arbitration

The following Disputes are not subject to the provisions above: (a) any Dispute seeking to enforce or protect, or concerning the validity of, any intellectual property right of a Party; (b) any Dispute related to allegations of piracy, invasion of privacy, or unauthorized use; (c) any claim for unpaid fees; and (d) any claim for injunctive relief.

Corrections

There may be information on the Site that contains typographical errors, inaccuracies, or omissions, including descriptions, results, pricing, and availability. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Site at any time, without prior notice.

Disclaimer

The Site and Services are provided on an as-is and as-available basis. You agree that your use of the Site and our Services is at your sole risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and we assume no liability or responsibility for any:

  1. Errors, mistakes, or inaccuracies of content and materials,
  2. Unauthorized access to or use of our servers and any personal or business information stored there,
  3. Interruption or cessation of transmission to or from the Site,
  4. Bugs, viruses, or the like which may be transmitted to or through the Site by any third party,
  5. Changes in search engine rankings, map placement, AI recommendations, or platform policies, including suspensions of accounts or listings we did not cause, and
  6. Business decisions you make, or any business result you do or do not achieve, including any loss of profit, revenue, leads, or opportunity.

Limitations of Liability

In no event will we or our owners, managers, employees, contractors, or agents be liable to you or any third party for any indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of business opportunity, or loss of data, arising from your use of the Site or Services, even if we have been advised of the possibility of such damages.

Notwithstanding anything to the contrary contained here, our total liability to you for any cause whatsoever and regardless of the form of the action will at all times be limited to the total amount paid by you to us, if any, during the six (6) month period prior to the cause of action arising.

Certain US state laws and international laws do not allow limitations on implied warranties or the exclusion or limitation of certain damages. If those laws apply to you, some or all of the above disclaimers or limitations may not apply to you, and you may have additional rights.

Indemnification

You agree to defend, indemnify, and hold us harmless, including our affiliates and all of our respective owners, officers, managers, employees, contractors, and agents, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of:

  1. Your use of the Site or Services;
  2. Your breach of these Terms;
  3. Any breach of your representations and warranties set forth in these Terms;
  4. Your violation of the rights of a third party, including intellectual property rights;
  5. Client Materials or any content you approved for publication; or
  6. The operation of your business, including claims by your customers or clients, and any complaint by a regulator, state bar, or licensing board about your advertising.

We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.

User Data

We will maintain certain data that you transmit to the Site for the purpose of managing the performance of the Services, as well as data relating to your use of the Services. Although we perform routine backups, you are responsible for keeping your own copies of any material you rely on. You agree that we have no liability to you for any loss or corruption of such data.

Electronic Communications, Transactions, and Signatures

Visiting the Site, sending us emails, registering for a webinar, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communication be in writing. You agree to the use of electronic signatures, contracts, orders, and other records.

By providing your phone number or email address, you consent to receive communications from us about webinars, trainings, your account, our services, and promotions, as described in the form you submit. You may opt out of marketing emails at any time using the unsubscribe link, reply STOP to end text messages, or contact us at [email protected]. Message and data rates may apply. Opting out of marketing does not stop messages about an active client engagement.

California Users and Residents

If any complaint with us is not satisfactorily resolved, California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210 or (916) 445-1254.

Miscellaneous

These Terms, any Service Agreement, and any policies posted by us on the Site constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Terms does not operate as a waiver of that right or provision. We may assign any or all of our rights and obligations to others at any time. We are not responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control.

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision is deemed severable and does not affect the validity of the remaining provisions. No joint venture, partnership, employment, or agency relationship is created between you and us as a result of these Terms or your use of the Services. You waive any defenses based on the electronic form of these Terms and the lack of signing by the parties.
